Statement on Solvinity prohibition

Dutch-language version follows.

Earlier today, the Dutch Minister of Economic Affairs and Climate Policy upheld its prohibition of Kyndryl’s acquisition of Solvinity. We have spent almost a year defending the proposed acquisition and engaging key government officials and customers on the innovation, security and modernization expertise we would have brought to Solvinity’s government customers. We remain disappointed by the outcome after a second, thorough assessment of the proposed transaction.

Despite all our best efforts, this second decision by the Minister leaves no room for debate — this transaction is prohibited by law and cannot be completed.

We accept the result and will move on, continuing to support our customers throughout the Netherlands — operating their mission-critical systems at scale.

We encourage Solvinity and its shareholders to recognize the fact that the Government of the Netherlands has carried out the full range of its review processes over the course of the year and has reached the conclusion to prohibit the proposed acquisition. We ask Solvinity and its shareholders to accept the decision, focus on preserving stability and ensure the continuity of Solvinity’s customers, employees and business operations.
